    An Update on Indemnification Agreements and Additional Insured Endorsements

    Commercial, construction, and professional services contracts commonly include indemnification provisions, and the requirement that an

    indemnified party be named as an additional insured on any applicable insurance policy.  When a defense and indemnity claim is subsequently

    tendered, however, these apparent straightforward agreements oftentimes are subject to different interpretations, which leads to significant

    disputes amongst the parties, and their respective brokers and insurers.   As a result, nearly every state’s judiciary and/or legislature are undertaking

    a concerted effort to limit, and sometimes altogether invalidate, indemnity agreements.  As new laws are enacted and groundbreaking judicial

    decisions are issued, the insurance industry responds with frequent modifications to the language utilized in the standard ISO Additional Insured

    Endorsement Form.  Risk managers and insurance brokers are, therefore, confronted with increasing challenges in keeping up with changes in the law

    to ensure their client’s indemnity agreements are adequately protected.  Phil Earnest and Jim Buldas of Pietragallo Gordon Alfano Bosick & Raspanti LLP

    will provide a brief review of how to properly navigate a defense and indemnity tender, and by doing so provide insight on how to effectively negotiate

    and broker these agreements at inception to avoid subsequent litigation.
